1.1 These Terms of Service (hereinafter referred to as "Terms") constitute a legally binding agreement between you (hereinafter referred to as "User") and the Compliance Navigator platform (hereinafter referred to as "Platform", accessible at www.chuhai-compliance-navigator.com) governing your access to and use of all services provided by the Platform.
1.2 By registering an account, logging in, or otherwise accessing or using the Platform's services, you acknowledge that you have read, understood, and agree to be bound by these Terms in their entirety. If you are using the Platform on behalf of an organization, you represent and warrant that you have the authority to bind such organization to these Terms.
1.3 The Platform is an AI-powered compliance knowledge service platform designed for businesses expanding globally, providing compliance information retrieval, AI-powered Q&A, compliance tools, and risk assessment services.
1.4 If you do not agree to any provision of these Terms, you must immediately cease registration or use of the Platform's services.
To register an account on the Platform, you must provide truthful, accurate, and complete personal information, including but not limited to your email address and contact details. Upon submission, your registration is subject to review and approval by Platform administrators. The Platform reserves the right to reject any registration application at its sole discretion, without obligation to provide reasons.
You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify the Platform immediately upon discovering any unauthorized access or other security breach. The Platform shall not be held liable for any loss or damage arising from your failure to safeguard your account credentials.
The Platform reserves the right to suspend or permanently terminate any User account in the event of a breach of these Terms, without prior notice. Users may request account deletion by contacting Platform support via email.
The Platform provides Users with the following core services:
An intelligent Q&A system powered by artificial intelligence large language model technologies that provides real-time consultation on global compliance matters. AI-generated responses are based on the Platform's knowledge base and model training data and are provided for reference purposes only. They do not constitute legal advice.
A curated repository of tens of thousands of compliance articles (continuously updated) sourced from authoritative institutions and professional law firms, spanning 23 compliance modules including tax compliance, data protection, intellectual property, export control, and sanctions compliance, providing Users with comprehensive compliance knowledge retrieval.
A suite of over 23 practical compliance tools, including but not limited to tax calculators, sanctions screening tools, data compliance checkers, HS code matching, and VAT filing assistants, designed to help Users efficiently manage day-to-day compliance operations.
A systematic risk assessment service based on 23 compliance modules, utilizing questionnaire surveys and AI-driven analysis to generate personalized compliance risk assessment reports for Users.

When using the Platform's services, Users must comply with the following rules of conduct:
In the event of a violation of the above rules, the Platform may, at its discretion and depending on the severity of the violation, issue warnings, restrict features, suspend accounts, or permanently ban Users. The Platform further reserves the right to seek compensation for all losses resulting from such violations.
The Platform's user interface design, software code, functional architecture, and brand elements (including the name "Compliance Navigator" / "出海合规导航" and its logo) are owned by or lawfully licensed to the Platform and are protected under the copyright laws of the People's Republic of China and applicable international treaties.
Articles in the Platform's knowledge base originate from authoritative legal research institutions, industry compliance databases, and professional research institutes. Copyright in such articles belongs to their respective authors or original publishers. The Platform provides indexing and retrieval services only. Users shall cite original sources when referencing such content.
During the term of an active subscription, the Platform grants Users a non-exclusive, non-transferable, revocable, limited license to access and use the Platform's services solely for lawful business compliance purposes. This license does not include any right to redistribute, commercially resell, or publicly publish Platform content.
The intellectual property rights in content generated by the Platform's AI systems shall be determined in accordance with the prevailing laws of the People's Republic of China. Users may reference AI-generated content within lawful limits but shall not use such content directly as legal documents or formal legal opinions.
The selected subscription plan takes effect upon successful payment. Monthly subscriptions are calculated on a calendar month basis, and yearly subscriptions on a 365-day basis. Subscription fees shall be based on the prices published on the Platform at the time of purchase.
Unless the User explicitly cancels auto-renewal, subscriptions will automatically renew upon expiration. Users may cancel auto-renewal through the Platform's settings or by contacting customer support before the subscription expires. The renewal price shall be based on the published price at the time of renewal.
Given the special nature of the digital knowledge services provided by the Platform, subscription fees are non-refundable once paid, for the following reasons:

Refund requests must be submitted via the customer support email. The Platform will complete its review and processing within ten (10) business days of receiving the request.
The Platform reserves the right to modify, upgrade, or change its service content, features, and interface design as required by business development. Users will be notified in advance through Platform announcements, in-app notifications, or email.
The Platform performs regular system maintenance and updates. Scheduled maintenance windows will be communicated in advance via Platform announcements. The Platform will use best efforts to minimize impact on User experience.
The Platform shall not be liable for service unavailability caused by force majeure events (including but not limited to natural disasters, governmental actions, network failures, or cyberattacks) or interruptions in third-party services (including but not limited to AI model providers and cloud service providers). The Platform will make reasonable efforts to restore services promptly.
8.1 The Platform takes the protection of User personal information seriously. The collection, use, storage, and protection of User personal information are governed by the Platform's Privacy Policy.
8.2 Content submitted by Users through the AI Q&A service may be transmitted to third-party AI model service providers for processing. Users should not input trade secrets, personally sensitive information, or information subject to special legal protections when using this feature.
8.3 The Platform processes User data in compliance with the Personal Information Protection Law, the Data Security Law, and other applicable laws and regulations of the People's Republic of China.
All content provided by the Platform (including but not limited to AI Q&A responses, knowledge base articles, compliance assessment reports, and tool computation results) is provided for informational and reference purposes only and does not constitute legal advice, legal counsel, or any form of professional advice. Users should consult qualified attorneys or compliance professionals before making compliance-related decisions.
The Platform's AI Q&A system generates responses using artificial intelligence, which may contain inaccuracies, be incomplete, or be outdated. The Platform makes no express or implied warranties regarding the accuracy, completeness, timeliness, or fitness for any particular purpose of AI-generated content.
Articles in the knowledge base may become inapplicable due to changes in laws and regulations. While the Platform endeavors to maintain accurate and up-to-date content, it does not guarantee the timeliness or applicability of any specific article.
To the maximum extent permitted by applicable law, the Platform shall not be liable for any direct, indirect, incidental, special, punitive, or consequential damages arising from the User's use of or inability to use the Platform's services, regardless of whether such damages are based on contract, tort, negligence, or any other legal theory. The Platform's total aggregate liability shall not exceed the total subscription fees actually paid by the User in the 12 months preceding the event giving rise to the claim.
10.1 The formation, validity, interpretation, performance, and dispute resolution of these Terms shall be governed by the laws of the People's Republic of China, excluding its conflict of law provisions.
10.2 Any dispute arising out of or in connection with these Terms shall first be resolved through good-faith negotiation between the parties. If negotiation fails, either party may submit the dispute to the competent people's court in the jurisdiction where the Platform's operator is located.
10.3 If any provision of these Terms is found to be invalid or unenforceable by a court or tribunal of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions.
11.1 The Platform reserves the right to amend these Terms from time to time as required by business development. Amended Terms will be communicated to Users via Platform announcements, in-app notifications, or email.
11.2 Amended Terms shall take effect 7 calendar days after the date of the announcement. Continued use of the Platform's services after the amended Terms take effect shall constitute acceptance of such amendments. Users who do not agree to the amended Terms should discontinue use of the Platform and request account deletion before the effective date.
